 NOTICE OF MOTION FOR AMENDMENT OF BYLAWS

 

At the Annual General Meeting of the membership of the Club on Sunday, December 12, 2010, 2:00 PM at the Saint Andrews Centre, 6955 Bayers Road, Halifax the President of the Club will move as follows:

 

1. To amend section 27 of the bylaws of the Club to remove the restriction that no director of the Club shall serve for a continuous period of more than six years. 

 

Discussion  

 

Experience has shown that it takes several years of experience on the Board to learn what is required to lead the Club in an executive capacity. A six year term limit as a director will limit the pool of candidates capable of effectively assuming executive positions, which is not in the long term interest of the Club.

 

Wording of Motion     

 

That paragraph 27 of the bylaws of the Club be amended to delete the last sentence (i.e. delete “No director shall serve for a continuous period of more than six years.”) so as to read as follows: 

 

1. At the first ordinary or general meeting of the Society and at every succeeding ordinary or annual general meeting, those directors whose terms are expiring shall retire from office but shall hold office until the dissolution of the meeting at which their successors are elected and retiring directors shall be eligible for reelection.
